Introduction and Acceptance
These Terms of Service (“Terms,” “Agreement”) constitute a legally binding agreement between you (“you,” “your,” “User”) and Firstview Technology and Consulting Inc. (“Firstview,” “we,” “us,” “our”) governing your access to and use of the Firstview platform, website, applications, APIs, and related recruitment automation services (collectively, the “Services”).
By creating an account, accessing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of a company, organization, or other legal entity (“Organization”), you represent and warrant that you are authorized to bind that Organization to these Terms, and “you” and “your” refer to both you individually and the Organization.
If you do not agree to these Terms, you must not access or use the Services.
Description of Services
Firstview provides an AI-powered hiring and recruitment automation platform that acts as an intelligence layer for talent teams. Core features include, but are not limited to:
- AI Interview SessionsAutomated, conversational AI-driven video and audio interviews with candidates in realtime.
- CV Scoring & ParsingContextual analysis and objective scoring of resumes against exact job criteria rather than keyword matching.
- AI Notetaker & Co-PilotAI-generated transcripts, executive summaries, and comparative evaluation reports from live interviews.
- Pipeline ManagementEnd-to-end recruitment workflows, custom application pages, and applicant tracking.
- Autopilot CommunicationsAutomated email and WhatsApp notifications for interview invitations, status updates, and reminders.
- Integrations & AnalyticsConnections with ATS platforms, LinkedIn extension, analytics dashboards, and custom role benchmarks.
The specific features available to you depend on your subscription plan or customized service agreement. Firstview reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.
Eligibility
To use the Services, you must satisfy the following conditions:
- Be at least 16 years of age (or the minimum age required by applicable law in your jurisdiction).
- Have full legal power and capacity to enter into a binding agreement.
- Not be prohibited from using the Services under any applicable trade sanctions or local laws.
If you are accepting these Terms on behalf of an Organization, you represent that you have full authority to bind the Organization and that the Organization agrees to be fully responsible for your use of the Services and compliance by all authorized team members.
Account Registration and Security
4.1 Account Creation
To access the Services, you must create an account by providing accurate, current, and complete information. You agree to update your account information promptly if any details change.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials (including passwords, multi-factor authentication tokens, and API keys). You must immediately notify Firstview at info@firstview.ai of any unauthorized access to or use of your account. Firstview is not liable for any loss or damage arising from your failure to protect your account credentials.
4.3 One Account Per Person
Each individual may maintain only one Firstview account. You may not share your individual account credentials with any other person or allow others outside your allocated team seats to access the Services through your personal account.
Subscription Plans and Payment
5.1 Plans and Pricing
Firstview offers various subscription plans and managed headhunting tiers with distinct features, interview limits, and pricing. Details of current plans are available on our website or through our sales team. Firstview reserves the right to modify pricing with at least 30 days' prior written notice to existing subscribers.
5.2 Billing and Payment
By subscribing to a paid plan, you authorize Firstview (or our certified third-party payment processor) to charge the applicable recurring fees to your designated payment method. All fees are stated in the currency specified at the time of purchase and are exclusive of applicable sales tax, VAT, or withholding taxes for which you remain responsible.
5.3 Refunds
All fees are non-refundable except as required by applicable law or as otherwise expressly stated in an executed enterprise order form. If you believe you are entitled to a refund or have experienced billing errors, contact us at info@firstview.ai.
Acceptable Use
6.1 Permitted Use
You may use the Services only for their intended purpose: to manage your organization's hiring, scholarship, student selection, or recruitment processes in full compliance with all applicable local, national, and international laws and regulations.
6.2 Prohibited Conduct
You agree not to, and will not permit any user under your account to:
• Use the Services for any illegal, fraudulent, or unauthorized purpose.
• Violate any applicable law, regulation, or third-party rights, including intellectual property, privacy, or employment laws.
• Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
• Attempt to gain unauthorized access to the Services, other accounts, computer systems, or networks connected to the Services.
• Interfere with or disrupt the integrity or performance of the Services or the data contained therein.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services or any underlying AI models.
• Use the Services to develop a competing product or service, or copy any features, functions, or graphics of the Services.
• Use any automated means (including bots, scrapers, or crawlers) to access the Services, except as expressly permitted by Firstview.
• Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on the Services.
• Share, resell, sublicense, or make the Services available to any third party except as permitted under your subscription plan.
• Non-Discrimination: Use the Services to discriminate against any candidate or individual on the basis of race, color, religion, sex, sexual orientation, national origin, age, disability, genetic information, marital status, or any other characteristic protected by applicable law.
• Manipulate or falsify interview results, candidate assessments, or other metrics processed through the Services.
6.3 Enforcement
Firstview reserves the right to investigate and take appropriate action against any violation of this section, including suspending or terminating your account, removing infringing content, and reporting suspected unlawful conduct to law enforcement authorities.
Artificial Intelligence and Automated Decision-Making
7.1 AI-Generated Content
The Services use artificial intelligence, natural language processing, and machine learning models to generate interview questions, transcribe interviews, evaluate candidate answers, score CVs, and produce assessment reports. AI-generated outputs are provided as decision-support tools and should not serve as the sole, unreviewed basis for any final employment or adverse decision.
7.2 No Guarantee of Accuracy
While Firstview continuously refines its algorithms to provide accurate and useful outputs, we do not guarantee the infallible accuracy, completeness, or reliability of any AI-generated scoring or summary. You remain responsible for reviewing all AI outputs and making your own independent, qualified hiring determinations.
7.3 Human Oversight
You explicitly agree to maintain meaningful human oversight over all employment decisions facilitated by the Services. The Services are built around our philosophy: “Automation where it counts, humans where it matters.”
7.4 Bias and Fairness
Firstview is dedicated to building fair, unbiased AI systems evaluated strictly on contextual job competencies. However, no AI system is completely immune to latent bias. You acknowledge this technological reality and agree to monitor for and address any potential bias in your customized prompts, rubrics, and hiring pipelines.
7.5 AI Model Training
Firstview may use aggregated, fully de-identified data to train and improve platform performance. We do not use your identifiable candidate interview recordings, resumes, or confidential customer assessment data to train generative models for external third parties without your prior written authorization.
Intellectual Property
8.1 Firstview's Ownership
The Services, including all software, source code, underlying algorithms, models, user interfaces, visual designs, trademarks, brand logos, and documentation, are owned exclusively by Firstview or its licensors and are protected by applicable intellectual property laws. These Terms grant you no proprietary rights in the Services.
8.2 Limited License to You
Subject to your ongoing compliance with these Terms, Firstview grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services during your active subscription term solely for your internal business recruitment purposes.
8.3 Your Content
You retain all ownership rights in any content, job descriptions, organizational data, and materials that you upload, submit, or transmit through the Services (“Your Content”). By using the Services, you grant Firstview a worldwide, non-exclusive, royalty-free license to host, store, process, and display Your Content solely as necessary to provide and operate the Services for your benefit.
8.4 Candidate Data
If you are an employer, recruiter, or staffing professional, you represent and warrant that you possess all necessary rights, legal bases, and candidate consents required to upload, store, and process candidate resumes and interview recordings through the Services in compliance with applicable employment and privacy statutes.
8.5 Feedback
If you provide Firstview with suggestions, enhancement requests, or other feedback (“Feedback”), you grant Firstview an unrestricted, perpetual, irrevocable, royalty-free license to use, incorporate, and exploit such Feedback for any purpose without obligation or financial compensation to you.
Data Protection and Privacy
9.1 Privacy Policy
Our collection, processing, storage, and transfer of personal information is governed by our Privacy Policy (US) and related regional privacy statements, which are incorporated into these Terms by reference.
9.2 Data Processing
To the extent that Firstview processes personal data of candidates or individuals on your behalf as a data processor / service provider, the parties agree to enter into a standard Data Processing Agreement (“DPA”) as required by GDPR, CCPA, or other applicable regulations upon request.
9.3 Your Responsibilities
You are solely responsible for ensuring that your recruitment workflows comply with applicable privacy regulations, including providing clear notice to candidates and securing any required consent before initiating AI video/audio recording or automated CV assessments.
9.4 Data Security
Firstview implements robust technical and organizational security measures designed to safeguard data processed through the Services against unauthorized access, loss, or disclosure. However, no electronic transmission over the internet or cloud storage architecture can be guaranteed 100% impenetrable.
Third-Party Services and Integrations
10.1 Third-Party Services
The Services may integrate with or link to third-party tools (such as Applicant Tracking Systems, LinkedIn, WhatsApp, calendar schedulers, and payment processors). Firstview is not responsible for the uptime, accuracy, content, or practices of external third-party services.
10.2 Third-Party Terms
Your use of any external integration is governed strictly by the separate terms and conditions of that third-party provider. Firstview is not a party to agreements between you and external software vendors.
10.3 No Endorsement
The inclusion of links, integrations, or partner badges does not constitute an endorsement or warranty of third-party products by Firstview.
Confidentiality
11.1 Confidential Information
“Confidential Information” means all non-public information disclosed by one party (“Disclosing Party”) to the other (“Receiving Party”) in connection with the Services that is marked confidential or reasonably understood to be confidential given the circumstances of disclosure, including business plans, pricing, proprietary code, and candidate files.
11.2 Obligations
Each party agrees to: (a) protect the other party's Confidential Information using at least the same standard of reasonable care it uses for its own confidential data; (b) not disclose Confidential Information to any third party except to employees, contractors, or legal/financial advisors with a need to know under equivalent confidentiality restrictions; and (c) use Confidential Information solely to execute rights and duties under these Terms.
11.3 Exceptions
Confidential Information does not include information that: (a) is or becomes publicly known without breach of these Terms; (b) was already known to the Receiving Party prior to disclosure; (c) is lawfully obtained from a third party without confidentiality obligations; or (d) was independently developed without reference to the Disclosing Party's information.
Disclaimer of Warranties
YOU ACKNOWLEDGE THAT FIRSTVIEW IS A SOFTWARE AND CONSULTING PROVIDER, NOT A REGULATED EMPLOYMENT AGENCY, AND MAKES NO GUARANTEES REGARDING THE SUITABILITY, HONESTY, PERFORMANCE, OR ULTIMATE OUTCOME OF ANY CANDIDATE HIRED.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- No Consequential DamagesIN NO EVENT WILL FIRSTVIEW, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, WORK STOPPAGE, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.
- Aggregate Liability CapFIRSTVIEW'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO FIRSTVIEW DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
- Basis of the BargainTHE LIMITATIONS IN THIS SECTION REFLECT THE MUTUAL ALLOCATION OF RISK AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES. THE SERVICES WOULD NOT BE PROVIDED ON AN ECONOMIC BASIS WITHOUT SUCH LIMITATIONS.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, FIRSTVIEW'S LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
Indemnification
You agree to indemnify, defend, and hold harmless Firstview and its affiliates, directors, officers, employees, and agents from and against any third-party claims, demands, losses, liabilities, damages, and reasonable expenses (including attorney fees) arising out of or related to:
- Your use or misuse of the Services in violation of these Terms or applicable law;
- Your violation of any third-party intellectual property, privacy, publicity, or statutory employment rights;
- Any candidate resumes, interview video/audio materials, or data you upload, transmit, or process via the Services;
- Any adverse hiring decision, termination, or employment claim brought by an applicant against your Organization resulting from the use of our evaluation platform.
Term and Termination
15.1 Term
These Terms are effective from the moment you first access the Services or register an account and continue until formally terminated by either party.
15.2 Termination by You
You may cancel your subscription or terminate your account at any time via your workspace settings or by written notice to info@firstview.ai. Termination does not entitle you to any refund of fees already incurred.
15.3 Termination by Firstview
Firstview may suspend or terminate your account with or without cause, including if: (a) you breach any provision of these Terms; (b) your account is inactive for an extended period; (c) required by judicial or regulatory mandate; or (d) we discontinue the Services. Where feasible, we will provide reasonable advance notice.
15.4 Effect of Termination
Upon termination: (a) all licenses granted to you immediately cease; (b) you must cease all access to the platform; and (c) Firstview may securely purge your stored candidate data pursuant to our retention policy and applicable statutory rules.
15.5 Survival
Sections 7 (AI & Automated Decision-Making Disclaimers), 8 (Intellectual Property), 11 (Confidentiality), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), 14 (Indemnification), 16 (Governing Law), and 17 (General Provisions) survive any expiration or termination of these Terms.
Governing Law and Dispute Resolution
16.1 Governing Law
For U.S.-based users and organizations, these Terms are governed by and construed in accordance with the substantive laws of the State of Delaware, United States, without regard to conflicts of law principles.
For users and organizations located outside the United States, these Terms are governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to conflict of laws rules.
16.2 Good-Faith Dispute Resolution
Prior to initiating formal litigation, the parties agree to make good-faith efforts to resolve any dispute or controversy informally for a minimum period of thirty (30) calendar days following written notice.
16.3 Exclusive Jurisdiction
If the dispute cannot be resolved through amicable negotiations:
- U.S. Users: The parties consent to exclusive jurisdiction in state and federal courts located in the State of Delaware.
- International Users: The parties consent to exclusive jurisdiction in the Courts and Enforcement Offices of Istanbul (Central), Republic of Türkiye.
16.4 Class Action Waiver
General Provisions
17.1 Entire Agreement
These Terms, alongside the Privacy Policy, applicable DPA, and written Order Forms, represent the entire agreement between you and Firstview regarding the Services, superseding all prior oral or written negotiations.
17.2 Amendments
Firstview may modify these Terms periodically. Material updates will be notified via email or within the platform at least 30 days prior to effectiveness. Continued use of the Services after that period constitutes binding acceptance.
17.3 Severability & Waiver
If any provision is found invalid by a competent court, that term will be enforced to the maximum extent permissible and other terms will remain in full force. Failure to exercise any right does not waive subsequent enforcement.
17.4 Assignment
You may not assign these Terms without Firstview's prior written approval. Firstview may freely assign these Terms in connection with a corporate reorganization, merger, or asset sale.
17.5 Force Majeure
Neither party will be liable for performance delays caused by events beyond reasonable control, including natural disasters, acts of war, utility or internet outages, epidemics, or governmental directives.
17.6 Notices
Notices to Firstview must be delivered via email to info@firstview.ai. Notices to you will be transmitted to the administrative email designated on your account.
17.7 Export Compliance
You agree to strictly comply with all export control regulations and sanctions laws. The Services may not be accessed from embargoed territories or by restricted entities.
